These terms govern access to the CONSAI Agro & Energy OS public website, accounts, role-based services and connected commercial and institutional workflows.

1. Operator and acceptance
CONSAI Agro & Energy OS is operated by Consai Web Agency FZ-LLC. By using the website, creating an account, accepting an invitation, submitting information or using a connected service, the user agrees to these Terms and the Privacy Policy. If acting for an organization, the user confirms authority to bind or represent that organization.
2. Eligibility and professional use
The platform is intended for lawful agriculture, renewable-energy, trade, logistics, finance, climate, technology, institutional and related professional activities. Users must have legal capacity and must satisfy any role, age, authority, licensing or verification requirement applicable to their activity.
3. Accounts and security
Users must provide accurate, current and complete information; protect credentials; use only accounts they are authorized to access; and notify CONSAI promptly of suspected compromise. Activity performed through an account may be treated as activity of the account holder until unauthorized use is reported and verified.
CONSAI may require email, identity, organization, role, document or other verification before enabling specific functions.
4. Roles, approvals and permissions
Features, records and commercial paths depend on the assigned role, approval status, subscription, territory, organization and workflow stage. An account, profile, listing or partner relationship does not create authority to represent CONSAI unless a signed written agreement expressly grants that authority.
Users may not bypass access controls, impersonate another role, expose protected contacts or documents, or use information outside the purpose for which access was granted.
5. Acceptable use
Users must not use the platform for unlawful, deceptive, abusive, discriminatory, defamatory or fraudulent activity; upload malicious code; scrape or harvest protected data; interfere with security or availability; make unauthorized claims; infringe intellectual property; or submit information they are not entitled to use.
Bulk onboarding and data submission require authority, lawful sourcing, appropriate notice and compliance with the applicable operational procedure.
6. User content and responsibility
Users retain responsibility for the information, documents, listings, messages and evidence they submit. They grant CONSAI a limited right to host, process, reproduce and display that content only as necessary to operate, secure, review and deliver the selected services.
Users warrant that submitted content is accurate to the best of their knowledge, lawful, non-infringing and appropriately authorized. CONSAI may label, restrict, correct, reject or remove content that is incomplete, unsafe, misleading, unlawful or inconsistent with the relevant role or workflow.
7. Marketplace, RFQs, leads and introductions
Listings, leads, signals, RFQs, matches, booth profiles and introductions are information and workflow services. They are not warranties of identity, quality, availability, price, creditworthiness, licensing, financing, transaction completion or commercial outcome.
Participants must conduct their own due diligence, negotiate their own contracts and comply with applicable trade, tax, customs, sanctions, licensing, product, safety and consumer requirements. Protected contact or evidence may be released only after the applicable permission and review conditions are met.
8. Fees, subscriptions and payments
Paid roles, packages, setup services, subscriptions, commissions or transaction services are governed by the applicable order, invoice, package description or signed agreement. Unless stated otherwise, fees are due in advance and do not guarantee leads, revenue, investment or completed transactions.
Taxes, payment-provider terms, renewal conditions, cancellation rights and refund eligibility are determined by the applicable commercial document and mandatory law. A payment dispute or chargeback may lead to suspension while the matter is reviewed.
9. Strategic partners and representatives
Strategic Partners and other representatives operate independently unless a signed agreement states otherwise. They may not promise payments, reimbursements, exclusivity, investment, commissions, farmer income, government approval or commercial results on behalf of CONSAI.
Compensation is payable only where an applicable written agreement and the recorded commercial conditions have been satisfied. Registration volume alone does not create a payment entitlement.
10. Agriculture, farmer and cooperative participation
Registration alone does not transfer land, production, crop, data, carbon or ownership rights to CONSAI. Farmers and cooperatives remain responsible for the accuracy of operational information and for reviewing any separate project, buyer, finance, data-sharing or benefit-sharing agreement before participation.
A partner or cooperative managing participants must have authority to do so and must not prevent individuals from exercising applicable data or contractual rights.
11. Energy, finance, carbon and impact boundaries
Energy estimates, ROI indications, finance readiness, ESG information, MRV preparation and carbon-project records are decision-support materials, not engineering certification, financial advice, investment advice, legal advice or independent assurance.
A carbon activity is not a verified, issued, transferable or saleable credit unless the applicable methodology, validation or verification body and registry requirements have been completed and evidenced. Financing and investment remain subject to independent review, agreement and risk.
12. AI-supported features
AI-supported outputs may be incomplete, outdated or incorrect. Users must apply professional judgment and human review before using an output for commercial, technical, legal, agronomic, financial, safety or compliance decisions.
CONSAI may monitor, correct or restrict automated workflows to protect data quality, participants and platform integrity.
13. Intellectual property
The CONSAI names, logos, software, workflows, designs, databases, documentation and platform materials are owned by or licensed to the operator. These Terms provide a limited, revocable, non-transferable right to use the service for its intended purpose; they do not transfer ownership.
Users may not copy, resell, reverse engineer, frame, create competing datasets from, or commercially exploit protected platform materials except where expressly permitted in writing or by mandatory law.
14. Third-party services
The platform may connect or link to hosting, analytics, communications, maps, payment, document, verification, registry, social, cloud or other third-party services. Those services remain governed by their own terms, availability and data practices. CONSAI is not responsible for a third party’s independent acts or omissions.
15. Suspension and termination
CONSAI may review, limit, suspend or terminate access where necessary for security, legal compliance, non-payment, inaccurate information, misuse, inactivity, role ineligibility, breach of these Terms or protection of users and the ecosystem.
Where appropriate, CONSAI may provide notice and an opportunity to respond. Immediate action may be taken where risk, security, law or serious misconduct requires it. Obligations concerning confidentiality, payments, intellectual property, liability and records survive termination where their nature requires.
16. Availability and disclaimers
Services may change, experience interruption or require maintenance. To the maximum extent permitted by law, the platform is provided on an “as available” basis without a guarantee of uninterrupted access, specific opportunity volume, commercial success or fitness for a particular transaction.
Nothing in these Terms excludes a right or liability that cannot lawfully be excluded.
17. Limitation of liability
To the maximum extent permitted by applicable law, CONSAI is not liable for indirect, consequential or speculative losses; loss of profit, opportunity or data; or loss arising from third-party conduct, unverified information, user decisions or transactions concluded outside CONSAI’s direct contractual responsibility.
Any specific service liability, service level or financial cap stated in a signed agreement or mandatory law takes precedence over this general clause.
18. Privacy and confidentiality
Personal data is handled as described in the Privacy Policy. Users receiving non-public information must use it only for the authorized purpose, protect it against unauthorized disclosure and respect any additional confidentiality or data-room terms.
19. Changes to these Terms
CONSAI may update these Terms to reflect service, operational or legal changes. The current version and effective date will be published on this page. Continued use after the effective date constitutes acceptance where permitted by law; material changes may require renewed acceptance.
20. Governing law, disputes and contact
These Terms are governed by applicable UAE Federal Laws and the laws of the Emirate of Ras Al Khaimah. Unless a signed agreement or mandatory law provides otherwise, disputes are subject to the competent courts of Ras Al Khaimah.
